GRYSCL is a collective of street photographers who capture the energy, soul and diversity of the world's great cities in black and white images and sell them as high-quality square prints.
How does GRYSCL work?
GRYSCL members use the GRYSCL in-app camera to capture and submit square-format, black and white images of street scenes, street art, architecture, people and everything else that makes cities vibrant and beautiful. GRYSCL produces and markets high-quality square prints of a curated selection of images on behalf of our members.
Who owns the images that GRYSCL members submit?
Members own all the rights to the images they submit to GRYSCL. GRYSCL has a limited license to display submitted images on the GRYSCL app, website and social media accounts and to sell prints of a selection of those images on behalf of members. Read the GRYSCL terms of service for all the details.
Why do GRYSCL members use the GRYSCL camera?
We believe that anyone with an eye for black and white street photography should be able to sell prints of their images. We believe perception, composition and emotion - not expensive camera gear - are the most important factors in whether or not black and white images are compelling and marketable to buyers of photo prints.
In that spirit, all GRYSCL members use the in-app GRYSCL camera to capture and submit square-format, black and white images. The GRYSCL camera allows us to verify that the member who submits the image is the member who actually captured it. The GRYSCL camera allows us to also verify the location of the submitted image so it’s accurate. The GRYSCL camera allows us to ensure that we have a high-quality, high-resolution image file that can be produced into a high-quality print for sale.

ARBITRATION NOTICE: EXCEPT IF YOU OPT-OUT AND EXCEPT FOR CERTAIN TYPES OF DISPUTES DESCRIBED IN THE ARBITRATION SECTION BELOW, YOU AGREE THAT DISPUTES BETWEEN YOU AND GRYSCL WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
You may not post discriminatory, unlawful, infringing, hateful, pornographic or other inappropriate content via the Service.
You are responsible for any activity that occurs through your account and you agree you will not sell, transfer, license or assign your account, followers, username, or any account rights. With the exception of people or businesses that are expressly authorized to create accounts on behalf of their employers or clients, GRYSCL prohibits the creation of and you agree that you will not create an account for anyone other than yourself. You also represent that all information you provide or provided to GRYSCL upon registration and at all other times will be true, accurate, current and complete and you agree to update your information as necessary to maintain its truth and accuracy.
You agree that you will not solicit, collect or use the login credentials of other GRYSCL users.
You, and you alone, are responsible for keeping your password secret and secure.
You must not defame, stalk, bully, abuse, harass, threaten, impersonate or intimidate people or entities and you must not post private or confidential information via the Service, including, without limitation, your or any other person's credit card information, social security or alternate national identity numbers, nonpublic phone numbers or nonpublic email addresses.
You may not use the Service for any illegal or unauthorized purpose. You agree to comply with all laws, rules and regulations (for example, federal, state, local and provincial) applicable to your use of the Service and your Content (defined below), including but not limited to, copyright laws.
You are solely responsible for your conduct and any data, text, files, information, usernames, images, graphics, photos, profiles, audio and video clips, sounds, musical works, works of authorship, applications, links and other content or materials (collectively, "Content") that you submit, post or display on or via the Service.
You must not change, modify, adapt or alter the Service or change, modify or alter another website so as to falsely imply that it is associated with the Service or 100 Tribes, Inc.
You must not create or submit unwanted email, comments, likes or other forms of commercial or harassing communications (a/k/a "spam") to any GRYSCL users.
You must not interfere or disrupt the Service or servers or networks connected to the Service, including by transmitting any worms, viruses, spyware, malware or any other code of a destructive or disruptive nature. You may not inject content or code or otherwise alter or interfere with the way any GRYSCL page is rendered or displayed in a user's browser or device.
You must comply with GRYSCL's Community Guidelines.
You must not create accounts with the Service through unauthorized means, including but not limited to, by using an automated device, script, bot, spider, crawler or scraper.
We reserve the right to refuse access to the Service to anyone for any reason at any time.
We reserve the right to force forfeiture of any username for any reason.
You are solely responsible for your interaction with other users of the Service, whether online or offline. You agree that GRYSL is not responsible or liable for the conduct of any user. GRYSCL reserves the right, but has no obligation, to monitor or become involved in disputes between you and other users. Exercise common sense and your best judgment when interacting with others, including when you submit or post Content or any personal or other information.
You agree that you are responsible for all data charges you incur through use of the Service.
We prohibit crawling, scraping, caching or otherwise accessing any Content on the Service via automated means, including but not limited to, user profiles and photos (except as may be the result of standard search engine protocols or technologies used by a search engine with GRYSCL’s express consent).
Some of the Service may be supported by sponsorship revenue and may display advertisements and promotions, and you hereby agree that GRYSCL may place such advertising and promotions on the Service or on, about, or in conjunction with your Content. The manner, mode and extent of such advertising and promotions are subject to change without specific notice to you.
You acknowledge that we may not always identify paid services, sponsored content, or commercial communications as such.
The Service contains Content owned or licensed by GRYSCL ("GRYSCL Content"). GRYSCL Content is protected by copyright, trademark, patent, trade secret and other laws, and, as between you and GRYSCL, GRYSCL owns and retains all rights in the GRYSCL Content and the Service. You will not remove, alter or conceal any copyright, trademark, service mark or other proprietary rights notices incorporated in or accompanying the GRYSCL Content and you will not reproduce, modify, adapt, prepare derivative works based on, perform, display, publish, distribute, transmit, broadcast, sell, license or otherwise exploit the GRYSCL Content.
The GRYSCL name and logo are trademarks of 100 Tribes, Inc., and may not be copied, imitated or used, in whole or in part, without the prior written permission of 100 Tribes,Inc. In addition, all page headers, custom graphics, button icons and scripts are service marks, trademarks and/or trade dress of GRYSCL, and may not be copied, imitated or used, in whole or in part, without prior written permission from GRYSCL.
Although it is GRYSCL's intention for the Service to be available as much as possible, there will be occasions when the Service may be interrupted, including, without limitation, for scheduled maintenance or upgrades, for emergency repairs, or due to failure of telecommunications links and/or equipment. Also, GRYSCL reserves the right to remove any Content from the Service for any reason, without prior notice. Content removed from the Service may continue to be stored by GRYSCL, including, without limitation, in order to comply with certain legal obligations, but may not be retrievable without a valid court order. Consequently, GRYSCL encourages you to maintain your own backup of your Content. In other words, GRYSCL is not a backup service and you agree that you will not rely on the Service for the purposes of Content backup or storage. GRYSCL will not be liable to you for any modification, suspension, or discontinuation of the Service, or the loss of any Content. You also acknowledge that the Internet may be subject to breaches of security and that the submission of Content or other information may not be secure.
It is GRYSCL's policy not to accept or consider content, information, ideas, suggestions or other materials other than those we have specifically requested and to which certain specific terms, conditions and requirements may apply. This is to avoid any misunderstandings if your ideas are similar to those we have developed or are developing independently. Any material, including without limitation, idea, knowledge, technique, marketing plan, information, questions, answers, suggestions, emails and comments, provided by you to us shall not be considered confidential or of a proprietary nature. In providing us with material, you authorize us to use it and any developments or derivatives thereto, according to our needs as determined in our sole discretion, including for public relations and promotion of the Site and the Service in the online and offline media, and all without requirement of any additional permission from you or the payment of any compensation to you. You also agree that (i) by submitting unsolicited ideas to us or any of our employees or representatives, you automatically forfeit your right to any intellectual property rights in these ideas; and (ii) unsolicited ideas submitted to us or any of our employees or representatives automatically become the property of GRYSCL. You hereby assign and agree to assign all rights, title and interest you have in such feedback and ideas to us together with all intellectual property rights therein.

THE SERVICE, INCLUDING, WITHOUT LIMITATION, GRYSCL CONTENT, IS PROVIDED ON AN "AS IS", "AS AVAILABLE" AND "WITH ALL FAULTS" BASIS. TO THE FULLEST EXTENT PERMISSIBLE BY LAW, NEITHER GRYSCL NOR ANY OF ITS EMPLOYEES, MANAGERS, OFFICERS OR AGENTS (COLLECTIVELY, THE "GRYSCL PARTIES") MAKE ANY REPRESENTATIONS OR WARRANTIES OR ENDORSEMENTS OF ANY KIND WHATSOEVER, EXPRESS OR IMPLIED, AS TO: (A) THE SERVICE; (B) THE GRYSCL CONTENT; (C) USER CONTENT; OR (D) SECURITY ASSOCIATED WITH THE TRANSMISSION OF INFORMATION TO GRYSCL OR VIA THE SERVICE.

You may opt out of this agreement to arbitrate. If you do so, neither you nor GRYSCL can require the other to participate in an arbitration proceeding. To opt out, you must notify GRYSCL in writing within 30 days of the date that you first became subject to this arbitration provision. You must use this address to opt out: 100 Tribes, Inc. You must include your name and residence address, the email address you use for your GRYSCL account, and a clear statement that you want to opt out of this arbitration agreement. If the prohibition against class actions and other claims brought on behalf of third parties contained above is found to be unenforceable, then all of the preceding language in this Arbitration section will be null and void.
This arbitration agreement will survive the termination of your relationship with GRYSCL. Time Limitation on Claims You agree that any claim you may have arising out of or related to your relationship with GRYSCL must be filed within one year after such claim arose; otherwise, your claim is permanently barred.
COPYRIGHTED MATERIALS, INFRINGEMENT NOTICES AND TAKEDOWN
YOU SHALL NOT USE THE SERVICE TO TRANSMIT, ROUTE, PROVIDE CONNECTIONS TO OR STORE ANY MATERIAL THAT INFRINGES COPYRIGHTED WORKS OR OTHERWISE VIOLATES OR PROMOTES THE VIOLATION OF THE INTELLECTUAL PROPERTY RIGHTS OF ANY THIRD PARTY.

Notwithstanding this section, we reserve the right at any time and in our sole discretion, to remove Content which in our sole judgment appears to infringe the intellectual property rights of another person.
GOVERNING LAW AND VENUE
GRYSCL's failure to insist upon or enforce strict performance of any provision of these Terms will not be construed as a waiver of any provision or right. No waiver of any of these Terms will be deemed a further or continuing waiver of such term or condition or any other term or condition. GRYSCL reserves the right to change this dispute resolution provision, but any such changes will not apply to disputes arising before the effective date of the amendment. This dispute resolution provision will survive the termination of any or all of your transactions with 100 Tribes, Inc.
If you are using the Service on behalf of a legal entity, you represent that you are authorized to enter into an agreement on behalf of that legal entity.
The information provided within the Service is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject GRYSCL to any registration requirement within such jurisdiction or country. We reserve the right to limit the availability of the Service or any portion of the Service, to any person, geographic area, or jurisdiction, at any time and in our sole discretion, and to limit the quantities of any Content, program, product, service or other feature that GRYSCL provides.
Software related to or made available by the Service may be subject to United States export controls. Thus, no software from the Service may be downloaded, exported or re-exported: (a) into (or to a national or resident of) any country to which the United States has embargoed goods; or (b) to anyone on the U.S. Treasury Department's list of Specially Designated Nationals or the U.S. Commerce Department's Table of Deny Orders. By downloading any software related to the Service, you represent and warrant that you are not located in, under the control of, or a national or resident of, any such country or on any such list.

We do not knowingly collect or solicit Personal Information (as defined below) from anyone under the age of 13. If you are under 13, please do not attempt to register for the Services or send any Personal Information about yourself to us. If we learn that we have collected Personal Information from a child under age 13, we will make commercially reasonable efforts to delete such information from our database. IMPORTANT – TRANSFER OF DATA AND PERSONAL INFORMATION TO THE U.S.
We primarily store data about you, including Personal Information, on servers located and operated within the United States. Therefore, if you reside outside of the United States, in order to provide the Services to you, we may send and store your Personal Information (also commonly referred to as personal data) outside of the country where you reside or are located, to the United States. Therefore, our collection and use of your personal information is subject to the United States’ laws related to privacy and use of personal data and information. HOW WE COLLECT INFORMATION
“Personal Information” means data that allows someone to identify or contact you, including, for example, your name, address, geographic location of your computer or mobile device, telephone number, email address and credit card information, as well as any other non-public information about you that is associated with or linked to any of the foregoing data.
Information You Provide to Us:We receive and store any information you provide to us. For example, through the registration process and/or through your account settings, we may collect Personal Information such as your name, email address, phone number, location, bio (the description you provide in connection with your public profile). Certain information may be required to register with us or to take advantage of some of our features. We may communicate with you if you’ve provided us the means to do so. For example, if you’ve given us your email address, we may send you newsletter emails highlighting Content, or email you about your use of the Services. Also, we may receive a confirmation when you open an email from us. This confirmation helps us make our communications with you more interesting and improve our services. HOW WE USE COLLECTED INFORMATION
We use non-Personal Information for the above purposes and in addition in order to (i) monitor and analyze use of the Services and for the technical administration of the Site, (ii) improve the Site and the Services, (iii) generate and derive useful data and information concerning the interests, characteristics and website use behavior of our users, and (iv) verify that users of the Services meet the criteria required to process their requests.
HOW WE SHARE COLLECTED INFORMATION
We neither rent nor sell Your Information in personally identifiable form to anyone. However, we may share Your Information with third parties as described in this section.
Information That’s No Longer Personally Identifiable:We may anonymize your Personal Information so that you are not individually identified, and provide that information to our partners. We may also provide aggregate usage information to our partners, who may use such information to understand how often and in what ways people use our Services, so that they, too, can provide you with an optimal online experience. However, we never disclose aggregate information to a partner in a manner that would identify you personally, as an individual.
Service Providers:We may employ third-party companies and individuals to facilitate or enhance the Services, to provide the Services on our behalf (such as payment processing), to assist us in analyzing how the Services are used, and to perform services related to administration of the Services or the Site (including, without limitation, maintenance, payments, hosting and database management services, website analytics and administration). We may share Your Information, including your Personal Information and Content, with such third party service providers, so that they may perform these tasks on our behalf.
Advertisers:We may allow advertisers and/or merchant partners (“Advertisers”) to choose the demographic information of users who will see their advertisements and/or promotional offers and you agree that we may provide any of the information we have collected from you in nonpersonally identifiable form to an Advertiser, in order for that Advertiser to select the appropriate audience for those advertisements and/or offers. Note that if an advertiser asks us to show an ad to a certain audience or audience segment and you respond to that ad, the advertiser may conclude that you fit the description of the audience they were trying to reach. We may deliver a file to you through the Services (known as a “web beacon”) from an ad network. Web beacons allow ad networks to provide anonymized, aggregated auditing, research and reporting for us and for advertisers. Web beacons also enable ad networks to serve targeted advertisements to you when you visit other websites. Because your web browser must request these advertisements and web beacons from the ad network’s servers, these companies can view, edit, or set their own cookies, just as if you had requested a web page from their site. You may be able to optout of web beacon tracking by adjusting the settings on your browser.
Affiliated Businesses:In certain situations, businesses or third party websites we’re affiliated with may sell or provide products or services to you through or in connection with the Services (either alone or jointly with us). You can recognize when an affiliated business is associated with such a transaction or service, and we will share Your Information with that affiliated business only to the extent that it is related to such transaction or service. One such service may include the ability for you to automatically transmit Third Party Account Information to your Services profile or to automatically transmit information in your Services profile to your third party account, for example your Facebook profile photo and biographical information.
